Terms of Service
Last updated: 24 October 2026
These Terms of Service ("Terms") govern your access to and use of the Talven Tech website (talventech.com) and the products and services we provide, including Talven CX Studio (collectively, the "Services"), operated by Talven Tech, Inc. ("Talven Tech", "we", "us"). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. The Services
Talven Tech designs and markets AI-focused digital products. Each product may have its own features and product-specific terms; where a product-specific term conflicts with these Terms, the product-specific term governs for that product. The features available to you depend on the plan or agreement under which you access a Service.
2. Eligibility and accounts
You must be able to form a binding contract to use the Services. If you use the Services on behalf of an organisation, you represent that you are authorised to bind that organisation. You are responsible for safeguarding any credentials and for all activity under your account.
3. Acceptable use
You agree not to misuse the Services, including by: (a) breaking the law or infringing the rights of others; (b) attempting to disrupt, reverse-engineer, or gain unauthorised access to the Services; (c) uploading content you do not have the right to use; (d) using the Services to generate unlawful, harmful, or deceptive content; (e) using an assistant to collect personal data from your website's visitors without the notice and legal basis the law requires of you; or (f) opening several accounts or trials to avoid the limits or fees of a plan.
4. Your content
You retain ownership of the content and data you provide ("Your Content"). You grant us the limited rights needed to host, process, and display Your Content for the purpose of providing the Services. You are responsible for the accuracy and lawfulness of Your Content.
When we process personal data on your behalf, such as the conversations of your website's visitors, we do so as your processor under our Data Processing Addendum. The providers we use to do so are listed on our Subprocessors page. Our Privacy Policy describes the personal data we process for our own purposes.
5. AI-generated output
The Services use automated systems to generate responses. Output may be inaccurate or incomplete and should not be relied upon as professional advice. You are responsible for reviewing output before acting on it or making it available to others.
6. Fees
Where a Service is provided under an order or agreement (for example a pilot or a managed assistant), its fees, billing terms, and renewal conditions are set out in that order or agreement. The rest of this section applies to Talven CX Studio subscriptions you start yourself online.
6.1 Free trial. A new workspace starts with a free trial of seven days, with the 1,000 website sessions of our first plan. No payment card is required. We email the account owner the day before the trial ends. If no plan is chosen by then, the assistant pauses until one is, and nothing is charged.
6.2 Plans and prices. Subscriptions are sold by plan, each including a number of website sessions per month, at the prices shown on our pricing page when you subscribe. Prices are in US dollars and exclude taxes; any tax that applies is added to your invoice. A subscription started before 16 October 2026 continues in the currency it started in.
6.3 Billing and renewal. A subscription is billed monthly in advance and renews automatically each month until it is cancelled. Payments are processed by our payment provider, Stripe, which emails your receipts and invoices; we do not receive or store your full card details.
6.4 Usage limits. When the website sessions in a billing period reach your plan's limit, the assistant pauses until the next period starts or until you move to a higher plan. We email the account owner when 80% and 100% of the limit are reached. A pause at the limit never puts a workspace to sleep or leads to its deletion under §6.8.
6.5 Changing plan. A move to a higher plan takes effect at once and the difference for the rest of the period is charged at once. A move to a lower plan is available when the current period's sessions fit it; the unused part of the higher plan is credited against later invoices.
6.6 Cancellation and refunds. You can cancel from your console, or from the billing portal it opens, at any time. Cancellation takes effect at the end of the current billing period: the assistant keeps working until then, and you can resume the subscription before then. When the period ends, the assistant pauses and §6.8 applies. Fees already paid are not refunded, including for a partial period, except where the law requires it.
6.7 Failed payments. If a payment fails, our payment provider tries it again and we email the account owner. The assistant keeps working for 14 days; if the payment is still outstanding after that, the assistant pauses until it is paid, and we email the account owner again.
6.8 Paused workspaces and deletion. This applies when the assistant is paused for a billing reason: the trial ended without a plan, the subscription ended or is unpaid, or a payment is overdue. After 14 days paused for a billing reason, the workspace goes to sleep: its assistant is stopped, and nothing is deleted. We email the account owner 3 days before. A sleeping workspace wakes when a plan is chosen or the payment is made. After 90 days paused for a billing reason, we delete the workspace, including its conversations, contacts, knowledge and assistant. We email the account owner 30 days and 7 days before that date. Choosing a plan, or paying what is due, at any time before then keeps everything.
6.9 Price changes. We may change our prices. We will not increase the price of an existing subscription without at least 30 days' notice by email.
7. Intellectual property
The Services, including their software, design, and content (excluding Your Content), are owned by Talven Tech or its licensors and are protected by applicable law. These Terms grant you no rights to our trademarks or branding except as needed to use the Services.
8. Third-party services
The Services may link to or integrate with third-party services. We are not responsible for third-party services, and your use of them is governed by their own terms.
9. Disclaimers
The Services are provided "as is" and "as available" to the fullest extent permitted by law. We disclaim all warranties not expressly stated, including fitness for a particular purpose and non-infringement.
10. Limitation of liability
To the fullest extent permitted by law, Talven Tech shall not be liable for indirect, incidental, or consequential damages, or for loss of profits, data, or goodwill, arising from your use of the Services.
11. Termination
We may suspend or terminate access to the Services if you breach these Terms or to protect the Services. You may stop using the Services at any time.
12. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms here and update the "Last updated" date. Continued use of the Services after changes take effect constitutes acceptance.
13. Governing law and jurisdiction
These Terms are governed by the laws of the State of Connecticut, USA. The courts of the State of Connecticut, USA shall have exclusive jurisdiction over any dispute, subject to any mandatory consumer-protection rights.
